Terms and Conditions

Effective Date: April 19th, 2019

  1. Prepayment: Payment for our services is required in advance. We accept payment through credit card and ACH for US-based customers via Recur360. Services will commence upon receipt of payment. Please note that all payments are subject to our refund policy, which is outlined below.

  2. Contractor Engagement: Our agency will provide a suitable Virtual Assistant (VA) for your needs based on the criteria provided. If the placed VA does not meet your expectations, you are entitled to up to two replacement VAs within the first 30 days of engagement, no matter which package you choose.

  3. Payment Prohibition: Clients are strictly prohibited from directly paying or hiring contractors introduced by VA Placement Service unless they pay a predefined recruitment fee associated with that VA. This fee structure will be provided upon request. All payments for contractor services must be made through our agency. Any attempt to bypass this provision will result in the termination of our services and legal action.

  4. Mutual Confidentiality: Any information shared regarding placement needs, including job descriptions, candidate profiles, and payment details, will be treated with utmost confidentiality. Such information shall not be disclosed to third parties without explicit written consent, except as required by law.

  5. Cancellation and Refunds: Cancellation of services must be requested in writing (via email or certified mail) two weeks before the effective date. To finalize the cancellation, you must book and complete a call with one of our team members. All payments already made are final and non-refundable.

  6. Liability: VA Placement Service shall not be liable for any direct damages, losses, or expenses incurred as a result of the performance or non-performance of contractors engaged through our agency. We commit to quality assurance measures to ensure the high standard of contractors provided.

  7. Indemnification: Clients agree to indemnify and hold harmless VA Placement Service and its affiliates from any claims, liabilities, damages, or expenses arising out of or related to the use of our placement services, excluding those resulting from our agency's gross negligence or willful misconduct.

  8. Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the State of Nevada. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Clark County, Nevada, though we encourage the use of mediation or arbitration as a first step in resolving disputes.

  9. Amendments: VA Placement Service reserves the right to amend these terms of service at any time, with changes to be communicated to clients in writing at least 30 days before they take effect.

  10. Intellectual Property Rights: All materials produced during the engagement, including work created by the VA for the client, are the client's property upon final payment for services. VA Placement Service retains ownership of its proprietary tools and methodologies.

  11. Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure is as a result of Acts of God (including fire, flood, earthquake, storm, hurricane, or other natural disasters), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power, or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service. Any party affected by such events shall inform the other party and shall use all reasonable endeavors to comply with the terms and conditions of this agreement.

  12. Termination: Either party may terminate this agreement with immediate effect if the other party breaches these terms and conditions, becomes insolvent, or enters into liquidation. Notice of termination must be provided in writing.

  13. Dispute Resolution Process: In the event of a dispute, parties agree to engage in good faith negotiations or mediation before resorting to arbitration or litigation. Disputes will be resolved by arbitration in Clark County, Nevada, according to the rules of the American Arbitration Association.

  14. Modification of Services: Modifications to the scope of services provided under these terms and conditions can be made upon mutual agreement in writing between VA Placement Service and the client.

  15. Feedback and Complaints: Clients are encouraged to provide feedback or lodge complaints regarding the services. VA Placement Service commits to addressing feedback and complaints promptly and will respond to all requests.

  16. Severability: If any part of these terms and conditions is found to be void or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
